GENERAL TERMS OF USE OF THE MADEIN.BG PLATFORM BY PRIM NET LTD

WHO WE ARE

The madein.bg is a place for online promotion and sale of works of art and crafts by Bulgarian authors.

When we talk about “madein.bg, We, Us, Our” you should keep in mind the company or platform below, separately and / or together:

PRIM NET Ltd. – the company providing the madein.bg platform, with headquarters and address of management Sofia 1421, 15 Akatsia Str., UIC: 203532398

Madein.bg – the platform through which the implementation of the madein.bg system is provided, available at www.madein.bg

When we talk about the services of providing the madein.bg platform, we will understand the software, subscription and support provided by PRIM NET Ltd. and we will use “madein.bg”.

By using our services, you agree with the provisions of these General Terms and Conditions of PRIM NET Ltd. Please read them carefully and check for updates periodically. If you use the Service on behalf of a company, it accepts these terms. This releases us and our partners, employees, distributors, agents and employees from any complaint, lawsuit or claim arising out of or in connection with the use of the service or breach of these terms, including any obligation or expense arising from claims, losses, damages, lawsuits, court decisions, court costs or attorney’s fees.

Some products or specifics of the service may require acceptance of additional conditions. In such cases, these conditions will be provided to you. In the event of a conflict between these conditions and the additional conditions, the additional conditions shall apply.

TERMS USED

For the purposes of these General Terms and Conditions, the following terms and expressions have the meanings assigned to them by the following:

PRIM NET Ltd. – the company providing the services of madein.bg.

Madein.bg services – the electronic system, the applications, the platform through which the implementation of the madein.bg platform is provided, available at www.madein.bg.

Partner control panel – an electronic system to which each author gets access after registration. The control partner panel is used for filling in, uploading photos, updating the information (after authorization by maden.bg).

Force majeure – force majeure will mean any event or condition that is beyond the reasonable control of the contracting party, as the case may be, which event is unavoidable, despite the reasonable care of the party concerned and prevents either party from fully complying. or in part its obligations, including, but not limited to, the following: fires, floods, landslides, tidal waves, cyclones, nuclear or air waves or other natural or physical disasters; wars, earthquakes, explosions, epidemics, military, hostile, terrorist or other similar actions; revolutions, riots, uprisings, public demonstrations, riots, sabotage or vandalism, COVID-19 restrictions.

Guest – visitor of the madein.bg platform.

Intellectual property – a collective definition including any type of copyright, patent, database rights, design, trademark, trade name, trademark, logos, know-how, unregistered design, internet domain and / or other intellectual / industrial property rights.

COPYRIGHT

The trademark, the trade name, the databases, the software, the design, the logos, the know-how, the internet domain are the exclusive property of madein.bg.

Any other content published on our website or within the software may also be reserved and belong to us, our partners or third parties. By using our services, you do not acquire ownership or intellectual property rights, nor do you gain the right to use them for purposes other than using the platform. Copyright remains our exclusive property without limitation.

All copyrights on the works of art, accessible exclusively through madein.bg, belong to the authors. The prints have a limited edition, indicated by a number. The print edition number refers to a limited edition for this dimension. The further reproduction rights are retained by the artist.

Madein.bg respects copyright law and expects its users to do the same. It is madein.bg’s policy to terminate in appropriate circumstances use of the madein.bg and the Services by Users or other account holders who (repeatedly) infringe or are believed to be (repeatedly) infringing the rights of copyright holders.

INTELLECTUAL PROPERTY OWNERSHIP

PRIM NET Ltd. /madein.bg/ alone (and its licensors, where applicable) shall own all right, title and interest, including all related intellectual property rights, in and to the website madein.bg and the Services and any suggestions, ideas, enhancement requests, feedback, recommendations or other information provided by you or any other party relating to the website madein.bg or the Services.

These User Terms do not constitute a sale and do not convey to you any rights of ownership in or related to the madein.bg or the Services, or any intellectual property rights owned by PRIM NET Ltd./madein.bg. The name, logo, and the product names associated with the madein.bg and the Services are trademarks of PRIM NET Ltd., its affiliated companies or third parties, and no right or license is granted to use them.

SERVICES

Through this website, we madein.bg, provide an online platform through which Bulgarian authors can advertise and through which visitors to the site can view and buy works of art.

In providing our services, the information displayed is based on relevant information not found on the official and publicly available websites or explicitly provided to us by the authors.

Our services are available for personal and non-commercial use. For this reason, you are not permitted to resell, link to the front page or any subpage of the site, copy, monitor (for example, using spyware or tracking programs, so-called spider and scrape – programs), post, download or reproduce any information, text, software, products or services offered and available on our website for any commercial or competitive action or purpose.

PURCHASE

Madein.bg offers each user the option to buy works of art in just a few easy steps. Choose amongst different categories, indicate the desired quantity and price, offered by the service provider and pay online.

In order to use the service, the user must provide the information and personal data required by the payment system via madein.bg. The personal data will be processed in accordance with the applicable European and Bulgarian legislation. For added convenience, the information for the purchase will also be sent to the email address provided by the user after processing the payment.

Some of the offered services in the madein.bg platform may be subject to regulation by the competent state or local authorities.

PRIM NET Ltd./madein.bg shall bear no responsibility for incorrect data, provided by the user.

USER REQUIREMENTS AND CONDUCT

The Service is not available for use by persons under the age of 18. You may not authorize third parties to use your Account, and you may not allow persons under the age of 18 to receive transportation or logistics services from Third Party Providers unless they are accompanied by you. You may not assign or otherwise transfer your Account to any other person or entity. You agree to comply with all applicable laws when using the Services, and you may only use the Services for lawful purposes (e.g., no transport of unlawful or hazardous materials). You will not in your use of the Services cause nuisance, annoyance, inconvenience, or property damage, whether to the Third-Party Provider or any other party. In certain instances, you may be asked to provide proof of identity to access or use the Services, and you agree that you may be denied access to or use of the Services if you refuse to provide proof of identity.

WARRANTIES AND LIMITATION OF LIABILITY

The services of madein.bg are provided as they are and as they are available.

Using the Services, provided by madein.bg requires an internet connection. You are responsible for obtaining the data network access necessary to use the Services. Your mobile network’s data and messaging rates and fees may apply if you access or use the Services from a wireless-enabled device. You are responsible for acquiring and updating compatible hardware or devices necessary to access and use the Services and Applications and any updates thereto. Madein.bg does not guarantee that the Services, or any portion thereof, will function on any particular hardware or devices. In addition, the Services may be subject to malfunctions and delays inherent in the use of the Internet and electronic communications.

PAYMENT

The use of the madein.bg platform and the Services is free of charge. If madein.bg decides to introduce such a fee, madein.bg shall inform you accordingly and allow you either to continue or terminate the Contract, at your option.

The rates that apply for the works of art can be found on the Website madein.bg. These may be modified or updated by madein.bg from time to time. It is your own responsibility to remain informed about the current rates.

You will make payment to madein.bg, acting as agent for the Authors of the works of art. You agree that you will pay for all services you purchase from the madein.bg, and that madein.bg may charge your payment card account (as provided by you when registering) for the purchased items and services (including any taxes and late fees, as applicable) that may be accrued by or in connection with your account. You are responsible for the timely payment of all fees and for providing madein.bg with a valid payment card account for payment of all fees at all times.

Madein.bg uses a third-party payment processor (the “Payment Processor”) to link your payment card account to the madein.bg platform. The processing of payments or credits, as applicable, in connection with your use of the madein.bg platform and Services will be subject to the terms, conditions and privacy policies of the Payment Processor and your payment card issuer in addition to these User Terms. If the amount paid by card shall be refunded, the amount will be refunded solely on the card it was paid with. Madein.bg is not responsible for any errors by the Payment Processor. In connection with your use of the Services, madein.bg will obtain certain transaction details, which madein.bg will use solely in accordance with its Privacy and Cookie Notice.

You understand that the use of the Services may result in charges applied to you for the services or goods you receive from a Third-Party Provider (“Charges”). After you have requested the provision of services or goods, madein.bg will facilitate your payment of the applicable Charges on behalf of the Third-Party Provider. Charges will be inclusive of applicable taxes where required by law. Charges paid by you are final and non-refundable, unless otherwise determined by madein.bg.

All Charges are due immediately and payment will be facilitated by madein.bg using the preferred payment method designated in your Account, after which and according to your preferences specified within your account, madein.bg will send you a receipt/invoice upon your request using your preferred method. If your primary Account payment method is determined to be expired, invalid or otherwise not able to be charged, you agree that madein.bg may, as the Third-Party Provider’s limited payment collection agent, use a secondary payment method in your Account, if available.

As between you and madein.bg, madein.bg reserves the right to establish, remove and/or revise Charges for any or all Services at any time in madein.bg’s sole discretion. Madein.bg will enact reasonable efforts to inform you of Charges that may apply at the time of your requesting of Services, provided that you will be responsible for any Charges incurred under your Account regardless of your awareness of such Charges or the amounts thereof. Madein.bg may from time to time provide certain users with promotional offers and discounts that may result in different amounts charged for the same or similar services or goods obtained through the use of the Services, and you agree that such promotional offers and discounts, unless also made available to you, shall have no bearing on your use of the Services or the Charges applied to you. You may select to cancel your request for services or goods from a Third-Party Provider at any time prior to such request’s arrival to the Third-Party Provider, in which case you may be charged a cancellation fee.

You have the right to annul the payment within 14 days dated the signing without being liable for indemnity or compensation. In case you opt for annulment you have to inform madein.bg and the services provider before the 14- day notice has expired by explicit written declaration sent to [email protected] Madein.bg will inform the service provider for your declaration of annulment of the payment. In case you exercise your right of annulment madein.bg is obliged to reimburse the amounts paid no later than 14 calendar days after your act of annulment of the contract. The bank and madein.bg do not collect additional taxes and costs in case of a reimbursement due to annulment. Additional taxes and costs are related to your contract conditions between you and your card issuance authority. By accepting the present general conditions you declare that you are aware of the lack of the right of refusal of services which have been delivered or which have been in progress of delivering by your previous consent and confirmation that you are informed of losing your right of refusal after the contract is fully performed by the service provider and as envisaged in the law on protection of customers.

Madein.bg uses the services of the card’s payment platform Stripe, Inc. (the “Payment Processor”) and Eurobank Bulgaria AD for the processing of payments. Stripe, Inc. is a technology company that provides software to accept payments online. Eurobank Bulgaria AD is a bank, registered in Bulgaria and subject to Bulgarian and EU Law. Madein.bg does not store any data for your bank cards or accounts and cannot access such data. By filling this data in, you provide it directly to Stripe, Inc. and Eurobank Bulgaria AD. You may find the Terms of service and Privacy Policy on Stripe’s and Eurobank’s websites (https://stripe.com/en-bg/; https://www.postbank.bg).

By accepting these User Terms and using the madein.bg or the Services, you agree that you shall defend, indemnify and hold madein.bg , its affiliates, its licensors, and each of their officers, directors, other users, employees, attorneys and agents harmless from and against any and all claims, costs, damages, losses, liabilities and expenses (including attorneys’ fees and costs) arising out of or in connection with:

your violation or breach of any term of these User Terms or any applicable law or regulation, whether or not referenced herein;
your violation of any rights of any third party, including Transportation Providers arranged via the madein.bg, or your use or misuse of the madein.bg or the Services.

IMPORTANT: madein.bg is not responsible for any currency conversion differences that may result in a reversed payment.

RETURN POLICY

Madein.bg is committed to ensuring the 100% satisfaction of our art collectors! That’s why once you’ve received an original artwork, we’ll give you seven (7) days to decide whether or not you’d like to keep that artwork or return it for a refund.

In light of our return policy, we recommend that you please allow the shipment to arrive so that you can see the work in person before making your final decision whether or not to keep it. However, if you’re absolutely certain that you do not want the artwork after all, please immediately contact [email protected] and provide your order details.

You may return any artwork, provided that it is returned in its original condition and packaging.

We also require all returned artwork to be shipped out by the buyer within three (3) days after confirming with us that the work will be returned.

If you do not notify us of your intent to return the work within 7 days of receipt or you do not ship the work within 3 days of notifying us, you will NOT be eligible for a refund.

HOW TO RETURN AN UNDAMAGED WORK

Within seven (7) days of your merchandise delivery date, please email us at [email protected] to give us your order information and the reason for wanting to return the work.
Repackage the artwork using the original packaging materials used by madein.bg. If you’ve already disposed of the original packaging, you’ll be responsible for purchasing packaging materials to send the artwork back safely.
Submit the item, making sure to include:
Your order number and contact information
The return portion of your original packing slip
Address the package to: PRIM NET Ltd., 5-13 B, Akatsia Str., 1421 Sofia, Bulgaria;
Attn: Madein.bg Return
Once the piece safely reaches the madein.bg, we will process your return and the amount owed will be refunded to your original source of payment in the same currency and using the same exchange rate as your original order (minus shipping costs and international customs fees, if any) within 7-10 business days of your merchandise return.

WHAT TO DO IF THE ARTWORK ARRIVES DAMAGED

Please open the package and check the integrity of the item BEFORE signing the delivery document!

A madein.bg support representative will contact you to discuss next steps.

CANCELLING PRINT ARTWORKS ORDERS

If you’ve ordered an open edition print, please note that your artwork is created immediately following successful processing of payment. Should you decide to cancel an open edition print order, we may not be able to stop the transaction prior to production.

WHAT TO DO IF THE PRINT ARRIVES DEFECTIVE

Please open the package and check the integrity of the item BEFORE signing the delivery document!
Take photos of damaged artwork and packaging. Please email these photos to [email protected]
Please email us at [email protected] to give us your order information.
After reviewing the photographs, madein.bg will ship a replacement print for your defective purchase.

In the event that we have sent the goods to you and you have canceled your order, we may withhold reimbursement until we have received the goods. The goods will only be accepted in the original crate, and the curator must approve no harm was done to the art.

IMPORTANT:

Our money back guarantee is NOT applicable in the following cases:
if you have signed the delivery document without remarks;
if you have ordered a non-standard size printed work and it has been delivered without damage;
Additional shipping fees may apply for international returns.
Ship your return package using a traceable shipping method and email the shipping details (including tracking number) to [email protected].

PRIM NET Ltd./madein.bg is not responsible for undelivered returns. Madein.bg will process your return and the amount owed will be refunded to your original source of payment in the same currency and using the same exchange rate as your original order (minus shipping costs and international customs fees, if any) within 7-10 business days of your merchandise return.

COLOR MATCHING

You acknowledge and understand that (a) colors as seen on a computer monitor may not look the same as the colors as they appear on our manufactured product, and (b) no guarantee is made that any image as seen online will necessarily match exactly the colors on the final product.

DISCLAIMER

your violation or breach of any term of these User Terms or any applicable law or regulation, whether or not referenced herein;
your violation of any rights of any third party, including Transportation Providers arranged via the madein.bg, or your use or misuse of the madein.bg or the Services.

APPLICABLE LAW

These conditions and the provision of our services are regulated and interpreted by the legislation of the Republic of Bulgaria.

These General Terms and Conditions may be amended and supplemented at any time by PRIM NET LTD.

CLAIMS OF COPYRIGHT INFRINGEMENT

Claims of copyright infringement should be sent to madein.bg.

DISPUTE RESOLUTION

You agree that any dispute, claim or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation or validity thereof or the use of the Services (collectively, “Disputes”) will be settled by the Bulgarian courts, in accordance with the applicable legislation of the Republic of Bulgaria, including as regards to the specific court’s jurisdiction over a certain Dispute.
